1. AGREEMENT TO THIS EULA
This End-User License Agreement ("EULA") constitutes a legally binding agreement between you, whether personally or on behalf of an entity (including your provider) ("you" or "your"), and Equip Financial Technology B.V., doing business as Equip ("Equip", "we", "us", or "our"), concerning your access to and use of the Equip Platform, including the website withequip.com (or a white-label domain such as reseller.withequip.com), the online financial environment, booking of consultations with financial experts, educational content, user onboarding, Penny AI (our in-house AI chatbot), personalized insights, and all related media, mobile applications (if available), and services (collectively, the "Platform").
The Platform is a technical software solution that enables Equip’s customers and reselling partners ("Customers") to offer their own services to end users (“End Users”) under their own brand. Any consultations, advice, guidance, or interactions facilitated through the Platform, including but not limited to 1:1 video consultations with financial advisors or experts, are provided exclusively by the relevant Customer or third-party advisors engaged by such Customer, and not by Equip.
Equip does not provide financial, legal, investment, or other professional advice through the Platform and is not a party to any advisory relationship between a Customer (or its advisors) and an end user. Equip’s role is strictly limited to making the Platform available as a software environment and technical infrastructure to support such interactions.
Equip is registered with the Dutch Chamber of Commerce under number 86747606, with its registered office at Elandsstraat 169H, 1016 RZ Amsterdam, Netherlands.
By accessing, logging into, or using the Platform, you confirm that you have read, understood, and agree to be bound by this EULA. If you do not agree with all provisions of this EULA, you are expressly prohibited from using the Platform and must immediately cease all use thereof.
Supplemental terms or documents posted on the Platform from time to time are expressly incorporated herein by reference. We reserve the right to change or modify this EULA from time to time at our sole discretion. Material changes will be posted on the Platform and, where we deem appropriate, notified to you by email. Your continued use of the Platform after the date of publication of a revised EULA constitutes your acknowledgment and acceptance of the changes.
The Platform is not intended for distribution or use in any jurisdiction where such would be contrary to law or regulation. The Platform is intended solely for users who are at least 18 years old.
2. INTELLECTUAL PROPERTY RIGHTS
Unless otherwise indicated, the Platform is our proprietary property, and all source code, databases, functionality, software, designs, audio, video, text, photographs, graphics, AI models (including Penny AI), transcriptions, and other content (collectively, "Content") and the trademarks, service marks, and logos ("Marks") are owned by or licensed to Equip and protected by copyright, trademark, and other intellectual property laws.
The Content and Marks are provided "AS IS" solely for your information and personal/non-commercial use (or internal business use in accordance with your subscription). Except as expressly permitted in this EULA, no part of the Platform or Content may be copied, reproduced, distributed, sold, licensed, or otherwise exploited without our prior express written permission.
You are granted a limited, revocable license to access and use the Platform for the permitted purposes. All rights not expressly granted are reserved by Equip.
3. USER REPRESENTATIONS
By using the Platform, you represent and warrant that: (1) all registration information you submit is true, accurate, current, and complete; (2) you will maintain the accuracy of such information; (3) you have the legal capacity and agree to comply with this EULA; (4) you are not a minor; (5) you will not access the Platform using any automated means; (6) your use is not illegal or unauthorized; (7) your use does not violate any applicable law or regulation.
If you provide untrue, inaccurate, not current, or incomplete information, we reserve the right to suspend or terminate your account.
4. USER REGISTRATION
Access to personalized features (such as personalized insights, or interaction with Penny AI) may require registration. You agree to keep your account details confidential and are responsible for all activities under your account. We reserve the right to remove or change usernames that we deem inappropriate.
5. PROHIBITED ACTIVITIES
You may not use the Platform for any purpose other than that for which we make it available. You agree not to:
Systematically retrieve data or other content to create collections, compilations, databases, or directories without our permission;
Introduce viruses, Trojan horses, or other harmful code;
Circumvent or interfere with security features;
Harass, abuse, or harm others;
Reverse engineer, decompile, or disassemble the Platform;
Use the Platform to compete with Equip;
Send unsolicited commercial communications;
Misuse financial or personal information of others;
Disrupt the Platform's operation or servers;
Engage in any illegal activities.
Violation may result in immediate termination of your access.
6. USER GENERATED CONTRIBUTIONS / USER INPUT DATA
By entering personal financial information, preferences, comments, or other data (e.g., during onboarding, consultations, or interaction with Penny AI), you grant us a non-exclusive, worldwide, royalty-free license to use, store, process, and analyze such data to deliver, personalize, and improve the service (including anonymized transcriptions for quality assurance and AI enhancement).
You represent and warrant that your contributions do not infringe third-party rights and comply with all laws.
7. CONTRIBUTION LICENSE
We may use suggestions, feedback, or other information you provide for any purpose without compensation. You retain ownership of your contributions, but we are not liable for them.
8. THIRD-PARTY WEBSITES AND CONTENT
The Platform may contain links to or integrate with third-party services (e.g., video infrastructure, AI APIs). We are not responsible for the content, accuracy, or practices of such third parties. Use is at your own risk.
9. PLATFORM MANAGEMENT
We reserve the right, but not the obligation, to: (1) monitor the Platform for violations; (2) take legal action against violators; (3) refuse, restrict, or disable access to contributions; (4) remove excessive content; (5) manage the Platform to protect our rights.
10. PRIVACY POLICY
Please review our Privacy Policy at https://www.withequip.com/privacy_policy. The Platform is hosted in the EEA. By using the Platform, you consent to the processing of your data in the EU in accordance with the GDPR.
11. TERM AND TERMINATION
This EULA remains in effect while you use the Platform. We may suspend or terminate your access at any time without notice for breach or any other reason.
12. MODIFICATIONS AND INTERRUPTIONS
We reserve the right to change, modify, or discontinue the Platform at any time without notice or liability.
13. GOVERNING LAW
These terms are governed by the laws of the Netherlands (express exclusion of the UN Convention on Contracts for the International Sale of Goods). Disputes shall be submitted to the competent court in Amsterdam. EU consumers retain protections under their country of residence law.
14. DISPUTE RESOLUTION
Parties agree to attempt informal negotiation for at least 30 days before court. Disputes shall be resolved by the court in Amsterdam, Netherlands (language: Dutch).
15. CORRECTIONS
Information on the Platform may contain typographical errors, inaccuracies, or omissions. We reserve the right to correct these without prior notice.
16. DISCLAIMER
The Platform is provided "AS IS" and "AS AVAILABLE". To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
The Platform itself does not provide financial advice under the Dutch Financial Supervision Act (Wft). Information, insights, educational content, and Penny AI output are for general informational and supportive purposes only. We make no representations about the accuracy, completeness, or suitability of provided information, insights, or advice. Any decisions based on the Platform are at your own risk. We are not liable for damages resulting from use of insights, consultations, transcriptions, or AI output.
We provide no warranties regarding the quality, suitability, or skills of financial experts or subcontractors.
The Platform is a technical software solution that enables Customers to provide their own services to you under their own brand. Equip solely provides access to and functionality of the Platform, including tooling, educational content, Penny AI functionalities, and communication features. Any 1:1 video consultations, advice, guidance, or interactions facilitated through the Platform are provided exclusively by the Customer or third-party advisors engaged by the Customer, and not by Equip. Equip is not a party to, nor responsible for, any such consultations, advice, representations, or outcomes thereof.
The Customer is solely responsible for the qualifications, conduct, legal compliance, and content of any services provided to End Users through the Platform, including compliance with applicable financial, consumer protection, and professional regulations. End Users acknowledge that any advice or guidance received through such interactions is provided by the Customer or its advisors, not by Equip, and that Equip bears no liability in relation thereto.
17. LIMITATIONS OF LIABILITY
In no event shall we or our directors, employees, subcontractors, or agents be liable for indirect, consequential, incidental, special, or punitive damages, including lost profits, lost revenue, loss of data, even if advised of the possibility thereof.
Our total liability for direct damages is limited to the amount paid by you (or the Customer on your behalf) to us during the six (6) months preceding the claim.
Direct damages exclusively include: a) Reasonable costs to make our performance compliant; b) Damage to tangible property; c) Reasonable costs to have the agreement properly fulfilled; d) Reasonable costs to determine the cause and extent of damage.
18. INDEMNIFICATION
You agree to defend, indemnify, and hold harmless us (including subsidiaries, affiliates, officers, subcontractors, agents, partners, and employees) from any claims, losses, damages, liabilities, and expenses (including reasonable attorneys' fees) arising from: (1) your use of the Platform; (2) breach of this EULA; (3) breach of your representations; (4) violation of third-party rights; (5) harmful acts toward other users. We reserve the right to assume defense at your expense.
19. USER DATA
We retain data you transmit for Platform management and improvement. You are solely responsible for backing up your data. We are not liable for loss or corruption of data.
20. ELECTRONIC COMMUNICATIONS, TRANSACTIONS, AND SIGNATURES
Your use of the Platform constitutes consent to electronic communications. Electronic signatures, agreements, and notices satisfy legal requirements for written form.
21. MISCELLANEOUS
This EULA constitutes the entire agreement. Severability: invalid provisions do not affect the remainder. No waiver by non-enforcement. We may assign rights. Force majeure excuses non-performance. No joint venture or agency relationship.
